A Prime Overview
Prime is an ASX-listed (ASX:PFG) Advice, Capital and Asset Management Group with a 26 year history. Prime has a client-focus supporting growth and emerging businesses, founders and high net worth investors. The business is also addressing growing global thematics of the "business of sport" and intergenerational wealth transfer. The business operates across four service lines:
Wealth Management (41% of Group revenue): $1.3bn of FUM including Prime Asset Management's three funds and multiple SPVs.
Prime Accounting and Business Advisory (30% of Group revenue): Accounting and tax compliance, growth advisory & strategy and outsourced CFO, R&D/other grant consulting.
Capital & Corporate Advisory (17% of Group revenue): Equity and debt capital advisory, Sports Capital, finance, valuations, M&A, ESOP & ESG consulting.
SMSF (12% of Group revenue): SMSF advice, establishment, administration and compliance services.
Financial highlights
- Strong and accelerating revenue growth over the last 5 financial years supporting EBITDA CAGR of 16%pa and dividend per share CAGR of 37%pa over that period (the trailing last twelve month declared dividend yield as at close 20/2/2025 is 6.75% fully franked).
- c70% of total revenue is generated from existing clients on a recurring basis.
- Recently confirmed the historical goal "..to double revenue from $26m in FY22 to $50m in FY25 (on track) and then double revenue again to $100m within 3-5 years (on track)" - ASX release 20 Feb 2025.
- Historic and future growth from a mix of business line organic growth in revenues and by acquisition including a currently active non-binding indicative offer to acquire a business which provides operational, client and capability synergies to the Wealth Management service line.
- Prime acquired 100% of fund manager Altor Capital in February 2024. The acquisition delivered control of the highly rated Altor "AltFi" Income Fund. Since that time the team has created the Altor Social Infrastructure Fund and has pivoted the nascent Altor "PIPE Fund" to include a greater focus on unlisted opportunities - renaming the new strategy Altor Emerging Growth Fund which has already made its first investment originated through the wider Prime Capital network. Altor achieved its deferred consideration EBITDA target in the first 12 months (2 years before the minimum return hurdle period was due to expire). Altor recently announced the acquisition of the Tasmanian Jack Jumpers NBL team as a Private Equity investment, aligning with Prime's "business of sport" thematic and insights from the Sports Capital team.
- Over the past three years, Prime has facilitated over 30 property transactions, expected to deliver returns of 9% – 12% for debt investments and 15% – >28% for equity investments, with no capital losses to date. Future opportunities will be presented to investors for investment as individual opportunities or within the ASIF Fund or new funds or SPVs.

- Altor Emerging Growth Fund: Targeting a return of 15% pa from investing into emerging businesses where Altor will have an opportunity to impact strategy and performance. When Prime acquired Altor in January 2024, EGF had two listed investments having exited two earlier investments for 11% and 20% IRRs. The first investment post a strategic pivot to a higher weighting of unlisted investments was into Sports-tech business Pickstar. Bringing Altor into the Prime family will afford it a greater view of mid-market (and now Sport) opportunities aligned to the Emerging Growth focus of the Fund. See AEGF details.
